Jinhua ("Wholesaler", "we") operates this ordering website (the "Site"), which is powered by the Distrinote system. By accessing the Site, signing in to an account, or placing an order, you agree to these Terms of Use.
The Site allows restaurant customers to browse products offered by the Wholesaler and submit orders online. Orders submitted through the Site are transmitted to the Wholesaler's system for processing.
You may register an account directly on this Site: provide your restaurant's phone number (used as your sign-in ID), restaurant name, the name of the person placing orders, your EIN, a password, and optionally your address. You sign in with your mobile phone number and password, and are responsible for all activity under your account. Keep your password confidential.
Prices are displayed on this Site for every product and each buying option (by the case or split / single units). The prices shown when you place your order apply to that order, subject to confirmation under Section 4 and to weighed-item settlement under Section 5.
Submitting an order on the Site is an order request. An order becomes final only after the Wholesaler confirms it in its system. If quantities, items, or prices are adjusted at confirmation (for example, due to stock or weight), the confirmed order controls. The Wholesaler may decline or cancel an order request before confirmation.
For products sold by weight, the amount shown at checkout is an estimate. The final amount is based on the actual weight at fulfillment and will be reflected in the confirmed order/invoice.
Some products may be offered both by the case and as individual units (packs, pieces, or singles), as indicated on the product page. Each option has its own price and quantity.
Unless online payment is enabled on the Site, payment is made offline as agreed between you and the Wholesaler (for example, cash or check). Credit terms, if any, are set by the Wholesaler separately.
Pickup and delivery arrangements are as indicated at checkout or as otherwise agreed with the Wholesaler.
Returns and credits for damaged, incorrect, or unsatisfactory goods are handled according to the Wholesaler's offline policy and applicable law.
The Wholesaler may suspend or terminate an account that is used in violation of these Terms.
To the maximum extent permitted by law, the Wholesaler is not liable for indirect or consequential damages arising from use of the Site. Product information on the Site is provided by the Wholesaler.
The Wholesaler may update these Terms from time to time. The current version posted on the Site applies.

损坏、发错或质量问题按批发商的线下政策和适用法律处理。
违反本条款的账户，批发商可停用或终止。
在法律允许的最大范围内，批发商不对使用本站产生的间接损失负责；本站商品信息由批发商提供。
